Terms of Service

Please read these Terms of Service carefully before using SEOScanHQ. By using the Service, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SEOScanHQ ("Company," "we," "us," or "our") governing your access to and use of the SEOScanHQ website located at seoscanhq.com and all associated services, applications, and APIs (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include both you individually and the organization.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

SEOScanHQ is an AI-powered SEO scanning and analysis platform that evaluates websites for their readiness and compatibility with AI search engines. The Service provides:

  • Comprehensive scanning of websites across multiple categories including AI crawler access, AI readability, structured data, technical SEO, social meta, and content quality
  • AI readiness scores and actionable remediation recommendations
  • PDF report generation and export capabilities
  • REST API access for programmatic scanning (Pro plan)
  • Historical scan tracking and trend analysis

The Service is provided as a Software-as-a-Service (SaaS) platform accessible through web browsers and, for eligible plans, via API. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Account Registration

To access certain features of the Service, you must create an account through our authentication provider, Clerk. When registering, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the confidentiality of your account credentials and not share your login information with any third party
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account or any other breach of security at support@seoscanhq.com

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to create an account. If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate or fraudulent information.

4. Subscription Plans and Billing

The Service is offered under tiered subscription plans, including a free tier and paid plans. All billing and payment processing is handled by LemonSqueezy, our Merchant of Record.

4.1 Payment Processing

LemonSqueezy acts as the Merchant of Record for all paid transactions. By subscribing to a paid plan, you agree to LemonSqueezy's terms of service and authorize LemonSqueezy to charge the payment method you provide for the applicable subscription fees.

4.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your selected plan) unless you cancel prior to the renewal date. You will be charged the then-current subscription fee at the time of renewal.

4.3 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:

  • Your access to paid features will continue until the end of the current billing period
  • No prorated refunds will be issued for partial billing periods
  • Your account will revert to the Free plan at the end of the billing period

4.4 Refunds

We offer a 30-day money-back guarantee for first-time subscribers to paid plans. If you are not satisfied with the Service within 30 days of your initial paid subscription, you may request a full refund by contacting support@seoscanhq.com. Refunds after the initial 30-day period are granted at our sole discretion.

4.5 Price Changes

We reserve the right to modify subscription pricing. Existing subscribers will receive at least 30 days' written notice before any price increase takes effect on their account. You may cancel your subscription before the price change becomes effective.

5. Free Plan

The Free plan provides limited access to the Service at no cost. The current limitations of the Free plan include:

  • Scan limit: 5 scans per calendar month
  • Check coverage: 22 of 50 available checkpoints
  • Reporting: Basic on-screen reporting only (no PDF export)
  • Support: Community support only

The Free plan is available indefinitely, though we reserve the right to modify its features and limitations at our discretion with reasonable notice. Free plan users are subject to the same Acceptable Use requirements as paid users.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Abuse or overload the Service: Engage in any activity that interferes with, disrupts, or places an unreasonable burden on the Service or its infrastructure, including but not limited to denial-of-service attacks or automated scraping beyond authorized API usage
  • Circumvent limitations: Attempt to bypass scan limits, rate limits, authentication mechanisms, or any other technical restrictions imposed by the Service
  • Scrape or harvest data: Use automated means (bots, crawlers, scrapers) to extract data from the Service except through the authorized API with a valid Pro plan subscription
  • Engage in illegal activity: Use the Service to scan websites you do not own or have authorization to test, or in any manner that violates applicable local, state, national, or international law
  • Reverse engineer: Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Service or any proprietary algorithms
  • Resell or redistribute: Resell, sublicense, or otherwise make the Service available to third parties outside the scope of the white-label features included in your plan
  • Transmit harmful content: Upload, transmit, or submit any content that contains viruses, malware, or other harmful code
  • Impersonate others: Misrepresent your identity or affiliation with any person or entity

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, without refund.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including but not limited to its source code, algorithms, design, user interface, graphics, logos, trademarks, and documentation, is the exclusive property of SEOScanHQ and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.

8.2 Your Data

You retain all ownership rights in the data you submit to the Service, including the URLs you scan and the websites you own. By using the Service, you grant us a limited, non-exclusive, worldwide license to process your submitted data solely for the purpose of providing and improving the Service. We do not claim ownership of your scan results or the content of your scanned websites.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully paid, royalty-free right to use, reproduce, modify, and distribute such Feedback for any purpose without compensation or attribution to you.

9. API Usage (Pro Plan)

API access is available exclusively to Pro plan subscribers. By using the API, you agree to the following additional terms:

9.1 Rate Limits

API usage is subject to a rate limit of 60 requests per minute. Exceeding this limit may result in temporary throttling (HTTP 429 responses). Persistent and deliberate abuse of rate limits may result in API key revocation.

9.2 API Keys

API keys are confidential credentials tied to your account. You are responsible for safeguarding your API keys and must not share them with unauthorized parties. If you suspect an API key has been compromised, you must regenerate it immediately through your dashboard and notify us at api@seoscanhq.com.

9.3 Fair Use

The API is subject to a fair use policy. While Pro plan subscribers receive unlimited scans, we reserve the right to investigate and take action against usage patterns that constitute abuse, including but not limited to: redundant scanning of the same URL at excessive frequency, automated scanning of URLs you do not own or have authorization to scan, or using the API for purposes inconsistent with the Service's intended function.

9.4 API Modifications

We may modify the API, including endpoints, response formats, and available features, at our discretion. We will use commercially reasonable efforts to provide at least 30 days' notice of breaking changes to active API users.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. The Privacy Policy is incorporated into and forms part of these Terms.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. You acknowledge that Internet-based data transmissions are inherently insecure, and while we implement industry-standard security measures, we cannot guarantee absolute security.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • No guarantee of SEO results: The Service provides analysis and recommendations for informational purposes only. We do not guarantee that following our recommendations will result in improved search engine rankings, increased traffic, or any specific SEO outcome. Search engine algorithms are controlled by third parties and are subject to change without notice.
  • Informational nature: Scan results and recommendations constitute informational guidance only and should not be relied upon as professional SEO advice. We recommend consulting with qualified SEO professionals for mission-critical decisions.
  • No warranty of accuracy: While we strive for accuracy, we do not warrant that scan results are error-free, complete, or current. AI crawler behaviors, search engine policies, and web standards evolve continuously.
  • No warranty of availability: We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • In no event shall SEOScanHQ, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or damage to reputation, arising out of or related to your use of or inability to use the Service.
  • Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount of subscription fees actually paid by you to SEOScanHQ during the twelve (12) months immediately preceding the event giving rise to the claim.
  • If you are a Free plan user who has not paid any subscription fees, our maximum aggregate liability shall not exceed fifty United States dollars (USD $50.00).

These limitations apply regardless of the legal theory upon which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless SEOScanHQ, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of any third party, including intellectual property or privacy rights
  • Any content or data you submit through the Service
  • Your scanning of websites you are not authorized to scan

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

14. Termination

14.1 Termination by You

You may cancel your account at any time through your account settings or by contacting our support team. Upon cancellation, your access to paid features will continue until the end of the current billing period. You may request permanent deletion of your account and associated data by contacting privacy@seoscanhq.com.

14.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service, at our sole discretion, for any of the following reasons:

  • Violation of these Terms or the Acceptable Use Policy
  • Non-payment of subscription fees
  • Fraudulent, abusive, or illegal activity associated with your account
  • Extended inactivity (accounts inactive for more than 12 months may be deleted after notice)
  • As required by law or in response to valid legal process

14.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately (or at the end of the current billing period, as applicable). We will retain and delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 11, 12, 13, 15, and 16.

15. Dispute Resolution

15.1 Good Faith Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good faith negotiation. You agree to contact us at support@seoscanhq.com with a written description of the dispute and allow 30 days for informal resolution.

15.2 Binding Arbitration

If the dispute cannot be resolved through negotiation within 30 days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, USA, or remotely via video conference at the election of either party.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entire arbitration provision shall be void.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

To the extent that litigation is permitted under these Terms (as an exception to arbitration), you consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, and waive any objection to venue or personal jurisdiction in such courts.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the parties to the greatest extent possible.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will provide at least 30 days' advance notice before the changes take effect
  • Notice will be provided via email to the address associated with your account and/or through a prominent notice on the Service
  • The "Last updated" date at the top of these Terms will be revised

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and cancel your account before the changes take effect.
